Thank you for using Stargaze™, a Portal Innovations, LLC product.

These Terms of Use (“Terms”) govern your access to and use of Stargaze and any associated software applications and websites (collectively, the “Services”). These Terms form an agreement between you and Portal Innovations, LLC (“Portal,” “we,” “us,” or “our”). By accessing or using Stargaze, you agree to be bound by these Terms.

Who We Are.

Stargaze is a proprietary tool created and operated by Portal to support life sciences and biotech innovation. For more information about Portal, visit www.portalinnovations.com.

Definitions

  • Service. Stargaze is a web-based platform using search, computational models, and algorithms to assist in biotech research and business development.
  • Third-Party Services. Our Services may incorporate software, products, or services from third parties, and some content (“Third-Party Output”) may derive from such services.
  • Content. You may submit data or information to the Services (“Input”) and receive responses (“Output”). Together, Input and Output constitute “Content.”

Registration and Access

You must provide accurate information during registration, including:

  • Name
  • Email
  • Job title, employer, and team description

Do not share your access credentials. You are responsible for activity under your account.#

Use of Services

You may use Stargaze to:

  • Submit and retrieve data related to drug discovery, diseases, targets, papers, and other biotech-related research areas.
  • Use templates and tools to support your analysis and workflows.
  • Conduct internal innovation landscaping, identify potential opportunities, and connect with collaborators, prospective partners, or funders.

You may not use Stargaze to:

  • Use the Services to violate laws or intellectual property rights.
  • Reverse engineer, modify, or distribute Stargaze or its components.
  • Extract, scrape, or harvest data programmatically without consent.
  • Sell, license, sublicense, or otherwise commercially exploit Stargaze Output or data.
  • Use Output to train competing AI models.
  • Use the Services or Output to build commercial products or services without prior written permission from Portal Innovations.

Content and Intellectual Property

  • You retain rights to your Input and any Output.
  • By submitting Content, you grant Portal a limited, non-exclusive, irrevocable license to use Content and Output for delivering and improving the Services.
  • You affirm you have the rights and permissions necessary for submitted Content and its use in the Service.
  • Portal retains all rights to the Services, including the platform’s software, tools, models, and interfaces.

Accuracy and Risk

  • Stargaze generates content using AI and other programmatic tools. Output may not always be accurate, unique, or reliable.
  • Users must verify Output and assume all risks related to its use.

Data Privacy

  • We collect personal information you provide (e.g., account, input data, communication).
  • Your data is used to operate, maintain, improve, and secure the Services.

Termination and Discontinuation of Services

  • You may terminate your account at any time.
  • Portal may discontinue, suspend or terminate access for violations of these Terms, inactivity, or any other reason.
  • Upon termination, your data may be deleted.

Disclaimer

  • Stargaze is provided “AS IS” and “AS AVAILABLE.”
  • Portal makes no warranties regarding uninterrupted use, accuracy, or non-infringement.
  • Use of Stargaze is at your own risk.

Limitation of Liability

  • Portal is not liable for indirect, incidental, special, or consequential damages.
  • Maximum liability is zero dollars as no fees are paid for the service.

Indemnity

  • You agree to indemnify and hold harmless Portal and its affiliates against third-party claims arising from your use of the Services or Content.

Use of Names and Branding

  • You may not use the names, logos, trademarks, or other brand identifiers of Portal Innovations or Stargaze without prior written permission. This includes, but is not limited to, use in press releases, marketing materials, promotional activities, product naming, or to imply affiliation, endorsement, sponsorship, or partnership. Any unauthorized use may result in suspension or termination of access to the Services and may constitute a violation of applicable laws.

Dispute Resolution

  • These Terms are governed by Illinois law.
  • Disputes will be resolved in the state or federal courts of Cook County, Illinois.

Changes to Terms

  • We may update these Terms with notice. Continued use constitutes acceptance.
